Český aeroholding, which will overarch the subsidiaries Prague Airport, Czech Airlines, HOLIDAYS Czech Airlines, Czech Airlines Technics, Czech Airlines Handling, and CSA Services, has a CEO. As of 1 November 2011, the position will be held by Miroslav Dvořák, who will, as at the same date, resign from his current position as the CEO of Prague Airport and President of Czech Airlines.
In March 2011, Miroslav Dvořák was elected Chairman of the Management Board of Český aeroholding. “My primary role in my new position in the parent company Český aeroholding will be to coordinate, manage the finances, and realise synergies throughout the group,” adds Miroslav Dvořák, Chairman of the Management Board of Český aeroholding, who will also be elected as Chairman of the Supervisory Board of Czech Airlines, effective 1 November 2011, replacing its current Chairman, Michal Mejstřík. Transferring to Český aeroholding along with Miroslav Dvořák is his management team. Petr Vlasák will be the Senior Director for Finance and Human Resource Management (1st Vice Chairman of the Management Board of Český aeroholding); Marta Guthová (a member of the Management Board) will serve as the Senior Director for Central Purchasing, Sales, and Marketing; and Josef Adam (Member of the Management Board) will become the Senior Director for ICT and Legal Affairs. As at 1 November 2011, all three of these managers will leave their positions in Prague Airport and Czech Airlines. Petr Vlasák is ending as the Senior Director for Finance and Corporate Services at Prague Airport; Marta Guthová will resign from the position of Senior Director for Non-flight Sales, Operations, and Purchasing at Prague Airport; and Josef Adam will leave the position of Vice President for ICT, Personnel, and Legal Affairs at Czech Airlines.
The first subsidiary to have launched the process of integrating into the holding structure is Prague Airport. The step has been divided into two stages. In order not to violate Act No. 69/2010 Coll. (prohibiting the privatisation of Prague Airport), key Prague Airport real estate must be either 100% owned by the state or by a legal entity in which the state has a 100% ownership interest. Český aeroholding is that legal entity. The first phase consisted of the hiving off of real properties from the Prague Airport Corporation, which were contributed to Český aeroholding (as at 1 October 2011) by means of a merger. The hiving off of a portion of the assets also meant that certain organisational units had to be transferred from Prague Airport to Český aeroholding, such as Human Resources, ICT, the Legal Department, the Accounting and Tax Department, and the Department for Central Purchasing and Logistics. In this way, synergies will be achieved, as a shared services centre will be created, which will offer these and other services to all subsidiaries. The Ministry of Finance as the sole shareholder, acting in the capacity of the General Meeting, approved that step on 6 November 2011. The second phase is the contribution of 100% of the shares of Prague Airport to Český aeroholding, which will transpire within the next few months. Over the course of the next 4 to 5 months, four Czech Airlines subsidiaries will also be gradually transferred to Český aeroholding. Czech Airlines itself will be the last to transfer, probably in the first half of next year. The entire process of creating a holding structure should be completed by the end of 2012.
